These Terms of Service ("Terms") govern your use of the website nakodatrader.com (the "Site") and the services provided by Nakoda Traders ("we," "us," or "our"), a proprietorship firm registered under the laws of India. By accessing our Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our Site or services.

2. Services Description

2.1 Machine Consultancy and Sourcing

We provide expert guidance on selecting the right industrial machinery for your production requirements, budget, and growth plans. Our sourcing network covers domestic manufacturers in India and international suppliers in Germany, Japan, China, Italy, Taiwan, South Korea, Turkey, and the USA. Recommendations are based on our professional assessment and are advisory in nature.

2.2 International Machinery Import

We handle end-to-end import logistics for industrial machinery, including supplier negotiation, purchase coordination, customs documentation, HS code classification, shipping, customs clearance, and inland transportation to your factory site. Import timelines and costs are provided as estimates and may vary based on manufacturer lead times, shipping conditions, and customs processing.

2.3 Installation and Commissioning

Our engineering team handles civil preparation, electrical connections, machine installation, alignment, calibration, test runs, and production trials. Installation timelines are subject to site readiness (power supply, foundation work, and environmental conditions as specified in our pre-installation requirements).

2.4 Training and Manpower

We provide operator training for machines sourced and installed by us, as well as standalone training services for machines purchased from other suppliers. Training scope, duration, and deliverables are specified in the relevant service agreement or quotation.

2.5 Spare Parts and Annual Maintenance Contracts (AMC)

We procure genuine OEM spare parts from domestic and international sources. AMC plans are governed by separate service agreements that specify coverage scope, response times, visit schedules, parts inclusion/exclusion, and pricing. AMC terms supersede these general Terms where there is a conflict.

3. Quotations and Pricing

• All quotations provided by Nakoda Traders are valid for 30 days from the date of issue unless otherwise stated.
• Prices are quoted in Indian Rupees (INR) unless explicitly stated otherwise. For imported machinery, prices may be quoted in the source currency (EUR, USD, JPY, etc.) and are subject to exchange rate fluctuations until payment is received.
• All prices are exclusive of GST unless explicitly marked as "inclusive of GST." Applicable GST will be charged at the prevailing rate at the time of invoicing.
• Customs duties, shipping charges, insurance, and installation costs are itemized separately in our quotations. Any duties or taxes not listed in the quotation are the responsibility of the client.

4. Payment Terms

• Payment terms are specified in each quotation or service agreement. Standard terms include an advance payment at order confirmation and the balance before or upon delivery.
• For imported machinery, payment milestones are typically: advance at order confirmation, payment against Bill of Lading or shipping documents, and final payment upon installation completion.
• Payments can be made via bank transfer (NEFT/RTGS/IMPS), cheque, or demand draft. All payments should be made in favour of "Nakoda Traders" or as specified in the invoice.
• Delayed payments beyond the agreed terms may attract interest at 1.5% per month on the outstanding amount.

5. Delivery and Timelines

• Delivery timelines provided by Nakoda Traders are estimates based on manufacturer lead times and prevailing logistics conditions at the time of quotation.
• We make every reasonable effort to meet stated timelines but are not liable for delays caused by manufacturer production schedules, international shipping disruptions, customs processing, port congestion, strikes, natural disasters, or other force majeure events.
• The client will be kept informed of any significant delays and their expected impact on the overall timeline.
• Risk and title for goods transfer to the client upon delivery to the client's site, unless otherwise specified in the service agreement.

6. Warranties and Guarantees

6.1 Manufacturer Warranty

All new machinery sourced by Nakoda Traders carries the original manufacturer's warranty. The warranty period, coverage, and terms are as specified by the manufacturer. We facilitate warranty claims on behalf of our clients but the warranty obligation rests with the original manufacturer.

6.2 Installation Warranty

Nakoda Traders provides a warranty on installation workmanship for a period of 90 days from the date of commissioning. This covers defects in our installation work only and does not extend to machine defects, operator error, or site-related issues (e.g., power fluctuations, inadequate foundations).

6.3 No Implied Warranties

Except as expressly stated above, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. Machine performance is subject to proper operation, maintenance, and environmental conditions as specified by the manufacturer.

7. Limitation of Liability

• Nakoda Traders' total liability for any claim arising out of or relating to our services shall not exceed the total amount paid by the client for the specific service or machine in question.
• In no event shall Nakoda Traders be liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of production, loss of profit, loss of business opportunity, or cost of substitute equipment — even if we have been advised of the possibility of such damages.
• We are not liable for damages arising from improper use, unauthorized modifications, failure to follow manufacturer guidelines, inadequate maintenance, or force majeure events.
• Our liability for AMC services is limited to the terms specified in the respective AMC agreement.

8. Client Responsibilities

When engaging our services, the client is responsible for:

• Providing accurate information about production requirements, site conditions, power supply specifications, and any other details requested during consultation
• Ensuring site readiness (civil work, electrical connections, compressed air, water supply, etc.) as specified in our pre-installation requirements document
• Obtaining necessary licenses, permits, and approvals for operating the machinery (including FSSAI, factory license, pollution clearance, etc.)
• Following the manufacturer's operating instructions and maintenance schedules
• Making payments as per agreed terms
• Providing safe access to the installation site for our engineers

9. Cancellation and Refund Policy

• Before order placement with manufacturer: Full refund of advance payment minus 5% processing charges.
• After order placement but before shipment: Refund subject to manufacturer's cancellation policy. Any non-refundable amounts charged by the manufacturer will be deducted from the refund.
• After shipment or delivery: No cancellation is accepted once the machinery has been shipped or delivered. Returns are subject to manufacturer's return policy, if any, and all return shipping costs are borne by the client.
• Custom or made-to-order machines: Non-cancellable and non-refundable once the order is confirmed with the manufacturer.
• AMC contracts: Can be terminated with 30 days' written notice. No refund for the remaining contract period.

10. Intellectual Property

All content on the Site — including text, images, logos, graphics, designs, and code — is the property of Nakoda Traders or its content providers and is protected by Indian copyright and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this Site without our prior written permission.

11. Website Use

• The information provided on our Site is for general informational purposes and does not constitute a binding offer or contract.
• We strive to keep the information on our Site accurate and up to date but make no warranties about the completeness, accuracy, or reliability of any information.
• Machine prices, specifications, and availability mentioned on the Site are indicative and subject to change without notice. Actual pricing and specifications will be confirmed in formal quotations.
• You agree not to use the Site for any unlawful purpose or in any way that could damage, disable, or impair the Site's functionality.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

12.2 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or our services:

1. Amicable Settlement: The parties shall first attempt to resolve the dispute through good-faith negotiation within 30 days of written notice.
2. Mediation: If negotiation fails, the dispute shall be referred to mediation under the Mediation Act, 2023, before a mutually agreed mediator in Kota, Rajasthan.
3. Jurisdiction: If mediation is unsuccessful, the dispute shall be subject to the exclusive jurisdiction of the courts in Kota, Rajasthan, India.

13. Force Majeure

Nakoda Traders shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, epidemics/pandemics, government actions or sanctions, war or civil unrest, strikes or labour disputes, supply chain disruptions, port closures, customs delays, or changes in import/export regulations.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

15. Amendments

Nakoda Traders reserves the right to modify these Terms at any time. Changes will be effective upon posting on this page with an updated "Last updated" date. Your continued use of the Site or services after changes are posted constitutes acceptance of the revised Terms. For active service contracts, the Terms in effect at the time of contract signing shall apply unless mutually agreed otherwise.
